General Terms and Conditions of Sale, Delivery and Payment

These Terms & Conditions apply to purchases made through the Kyone webshop, operated by Head-Works Trading B.V.

Article 1 – Definitions

In these Terms & Conditions:

“Head-Works” means Head-Works Trading B.V.

“Buyer” means a natural person acting as a consumer who places or intends to place an order through the Kyone webshop.

“Webshop” means the online Kyone store through which Head-Works offers products for sale.

“Agreement” means the purchase agreement concluded between Head-Works and the Buyer.

Article 2 – Application of These Terms

  1. These Terms & Conditions apply to all offers made by Head-Works through the webshop and to all agreements concluded between Head-Works and the Buyer.
  2. By placing an order through the webshop, the Buyer agrees to these Terms & Conditions.
  3. Agreements or commitments that deviate from these Terms & Conditions are only binding if they have been expressly confirmed by Head-Works.
  4. Nothing in these Terms & Conditions limits any mandatory statutory rights that the Buyer has as a consumer.

Article 3 – Offers and Orders

  1. Products, prices, descriptions, specifications and promotions displayed in the webshop are presented with the greatest possible care.
  2. Obvious errors or mistakes in prices, descriptions, specifications, promotions or other information do not bind Head-Works where the Buyer could reasonably recognise that an error had occurred.
  3. An agreement is concluded when the Buyer has completed the ordering process and Head-Works has confirmed the order electronically.
  4. Head-Works may refuse or cancel an order where there is a valid reason to do so, for example in the event of an obvious pricing error, suspected fraud, payment problems or lack of availability. If payment has already been received, the applicable amount will be refunded.
  5. Product images are intended to provide an accurate representation of the products. Colours, finishes and other visual characteristics may differ slightly due to photography, screen settings, production variations or product updates.

Article 4 – Prices and Payment

  1. Prices displayed in the webshop include VAT where applicable, unless expressly stated otherwise.
  2. Shipping costs and any other applicable costs are shown before the Buyer completes the order.
  3. Payment must be made using one of the payment methods offered during checkout.
  4. For deliveries outside the European Union, import duties, customs charges, local taxes or other charges may apply. Unless expressly stated otherwise, these costs are the responsibility of the Buyer.
  5. Head-Works may change its prices at any time. A price change does not affect an agreement that has already been concluded, except where required by law or where an obvious pricing error has occurred.

Article 5 – Delivery

  1. Orders are delivered to the address provided by the Buyer during checkout.
  2. The Buyer is responsible for providing complete and correct delivery information.
  3. Available shipping methods, shipping costs and any applicable free-shipping thresholds are shown in the webshop or during checkout.
  4. Delivery times shown on the website are estimates unless a specific delivery date has expressly been agreed.
  5. Head-Works will make reasonable efforts to deliver orders within the indicated delivery period.
  6. The risk of loss or damage remains with Head-Works until the products have been delivered to the Buyer or to a third party designated by the Buyer, other than the carrier.

Article 6 – Receipt and Transport Damage

The Buyer is requested to inspect the shipment after receipt.

Visible transport damage, missing products or other delivery problems should be reported to Head-Works as soon as reasonably possible, preferably with photographs or other relevant evidence.

Failure to report a problem immediately does not affect the Buyer’s statutory consumer rights.

Article 7 – Retention of Title

Products remain the property of Head-Works until the Buyer has paid all amounts due under the relevant agreement in full.

Article 8 – Right of Withdrawal

  1. A consumer generally has the right to withdraw from an online purchase without giving a reason within 14 days after the day on which the product is received.
  2. The Buyer may exercise the right of withdrawal by clearly informing Head-Works of the decision to withdraw from the agreement. The Buyer may use the Withdraw Purchase function available on the website or another clear method of communication.
  3. After notifying Head-Works of the withdrawal, the Buyer must return the product within 14 days.
  4. Unless otherwise stated, the direct costs of returning the product are borne by the Buyer.
  5. The Buyer may open the packaging and inspect the product to the extent necessary to establish its nature, characteristics and functioning.
  6. The Buyer is responsible for any diminished value of the product resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the product.
  7. For hygiene reasons, products that have actually been used may, depending on the nature of the product and the applicable statutory rules, not qualify for a full refund. Where the statutory right of withdrawal applies, this provision will be applied in accordance with mandatory consumer law.
  8. Products must be returned carefully and securely packaged.
  9. Statutory exceptions to the right of withdrawal apply where relevant, including products made to the consumer’s specifications or clearly personalised where the law provides such an exception.

Article 9 – Refunds After Withdrawal

  1. If the Buyer validly withdraws from the agreement, Head-Works will refund the payments received in accordance with applicable consumer law.
  2. Where the entire order is withdrawn, the standard delivery costs paid by the Buyer will also be refunded. Additional costs resulting from the Buyer choosing a more expensive delivery method than the standard method offered by Head-Works do not have to be refunded.
  3. Head-Works will make the refund without undue delay and no later than 14 days after being informed of the Buyer’s decision to withdraw.
  4. Head-Works may withhold the refund until the returned products have been received or until the Buyer provides evidence that the products have been sent back, whichever occurs first.
  5. Refunds will normally be made using the same payment method used for the original transaction, unless another method has expressly been agreed.

Article 10 – Warranty and Conformity

  1. The Buyer is entitled to the statutory warranty and conformity rights provided by applicable consumer law.
  2. A product must have the qualities and performance that the Buyer may reasonably expect, taking into account the nature of the product and the information provided by Head-Works.
  3. If a product does not comply with the agreement, the Buyer should contact Head-Works within a reasonable period after discovering the problem.
  4. Head-Works will assess the complaint and, where the statutory warranty applies, provide an appropriate remedy in accordance with applicable law.
  5. Normal wear and tear, improper use, accidents, insufficient maintenance, incorrect cleaning, unauthorised modifications or damage caused by external factors are not considered manufacturing defects, unless applicable law provides otherwise.

Head-Works will investigate complaints and endeavour to provide an appropriate response or solution within a reasonable period.

Article 12 – Force Majeure

Head-Works is not responsible for delays or failure to perform its obligations where this is caused by circumstances beyond its reasonable control.

Where such circumstances substantially affect an order, Head-Works will inform the Buyer where reasonably possible and will provide an appropriate solution in accordance with applicable law.

Article 13 – Liability

Head-Works is liable in accordance with applicable law.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.

Head-Works is not responsible for damage resulting from improper use of a product, failure to follow product instructions or maintenance requirements, or unauthorised modification of a product, unless applicable law provides otherwise.

Article 14 – Personal Data

Personal data collected in connection with webshop orders is processed in accordance with our Privacy Policy.

Article 15 – Applicable Law and Disputes

These Terms & Conditions and agreements concluded with Head-Works are governed by Dutch law.

Any disputes will be submitted to the competent court, subject to any mandatory consumer protection rules that grant the Buyer additional rights or jurisdiction in the country where the Buyer resides.
