Article 1 – Definitions

In these General Terms and Conditions, the following definitions apply:

  1. Service Center: Kyone Service Center, established in Breskens and registered with the Dutch Chamber of Commerce under number 63055430.
  2. Customer: any natural person or legal entity that submits scissors or another product to Kyone Service Center for conditioning, maintenance, repair, engraving or other services.
  3. Product: any pair of scissors or other item submitted by the Customer to the Service Center.
  4. Services: all services performed by the Service Center, including inspection, conditioning, sharpening, polishing, adjustment, repair, replacement of parts and engraving.

Article 2 – Applicability of These Terms

  1. These General Terms and Conditions apply to all quotations, assignments and agreements with Kyone Service Center and to all rights and obligations arising from them.
  2. These Terms also apply when the Customer uses a shipping envelope provided by the Service Center or when an assignment is submitted through a participating wholesaler or other intermediary.
  3. Any general terms and conditions of the Customer apply only if the Service Center has expressly agreed to them in writing.
  4. Agreements or commitments that deviate from these Terms are binding only if they have been confirmed in writing by the Service Center.

Article 3 – Quotations, Assignments and Agreements

  1. Stated prices, information and offers are non-binding unless expressly stated otherwise.
  2. An assignment is established when the Customer submits or sends a Product to the Service Center with a request for Services to be performed.
  3. By submitting a Product for Services, the Customer agrees to these General Terms and Conditions.
  4. The Customer must clearly indicate which Services are required and disclose any known problems or damage.
  5. The Service Center will inspect the Product before carrying out the Services.
  6. If the inspection shows that additional Services or parts are required that are not included in the standard service and involve significant additional costs, the Service Center is not required to contact the Customer beforehand.
  7. If, in the opinion of the Service Center, the Product cannot be responsibly treated or repaired, the Service Center may decide not to carry out all or part of the Services.
  8. The Service Center reserves the right to refuse an assignment if carrying it out would not be technically responsible or reasonably possible.

Article 4 – Shipping, Risk and Liability

  1. The Customer is responsible for carefully and securely packaging the Product.
  2. If multiple pairs of scissors are shipped together, they must be packaged separately and adequately protected so that they cannot damage each other during transport.
  3. The risk of shipping to the Service Center lies with the Customer until the shipment has been received by the Service Center.
  4. The provision of a shipping envelope by the Service Center does not affect the Customer's responsibility to package the Product carefully.
  5. For multiple or valuable pairs of scissors, the Customer is advised to use a shipping method with Track & Trace, registered shipping or insured shipping.
  6. After completion of the Services, the Product will be carefully packaged and returned to the address provided by the Customer or, where applicable, to the participating wholesaler.
  7. The Customer is responsible for providing correct and complete address details.
  8. The Service Center is not liable for defects or limitations resulting from normal wear and tear, improper use, dropping or impact, corrosion, insufficient maintenance, previous sharpening, previous repairs or modifications by third parties.
  9. If a Product is demonstrably damaged during the Services as a result of an error by the Service Center, the Service Center will provide an appropriate solution in consultation with the Customer.
  10. Visible transport damage upon receipt of a returned shipment must be reported in writing as soon as possible, preferably accompanied by clear photographs of the packaging and the Product.

Article 5 – Prices

  1. The current rates for conditioning, repair, engraving, parts and other Services are published on www.kyone.nl.
  2. Prices exclude VAT and shipping costs unless expressly stated otherwise.
  3. The final price depends on the type of scissors and the Services actually performed.
  4. Additional Services or parts that are not included in standard conditioning may be charged separately.
  5. The Service Center reserves the right to change its rates.
  6. The rates applicable at the time the assignment is carried out by the Service Center apply, unless otherwise agreed in writing in advance.

Article 6 – Customer Property

  1. Products submitted to the Service Center remain the property of the Customer.
  2. The Customer declares that they are authorised to submit the Product to the Service Center for Services.
  3. Parts replaced during repair or conditioning do not have to be returned to the Customer unless this has been agreed in writing in advance.

Article 7 – Complaints

  1. The Customer must inspect the Product upon receipt.
  2. Complaints concerning Services performed by the Service Center must be reported in writing via service@kyone.nl as soon as possible after discovery, and no later than 14 days after receipt.
  3. The Customer must give the Service Center sufficient opportunity to investigate the complaint.
  4. The Service Center may request that the Customer send the Product back for inspection.
  5. If the complaint is justified and relates to Services performed by the Service Center, the Service Center will first be given the opportunity to perform the relevant Services again free of charge.
  6. Submitting a complaint does not automatically suspend the Customer's payment obligation.

Article 8 – Force Majeure

  1. The Service Center is not liable for failure to perform, incomplete performance or delayed performance of its obligations where this is caused by circumstances beyond the reasonable control of the Service Center.
  2. Such circumstances include, but are not limited to, technical failures, fire, natural disasters, strikes, illness, government measures and disruptions or delays affecting carriers.
  3. In such cases, the Service Center has the right to suspend performance of the assignment or terminate the agreement if performance is no longer reasonably possible.

Article 9 – Payment

  1. After completion of the Services, the Customer will receive an invoice. The invoice may be included with the returned shipment or sent digitally.
  2. Payment must be made within 14 days of the invoice date, unless otherwise agreed in writing.
  3. Invoices are deemed correct unless disputed in writing within 14 days of the invoice date.
  4. In the event of late payment, the Service Center may charge statutory interest and extrajudicial collection costs in accordance with Dutch law.
  5. Any discounts, commissions or separate arrangements with business partners, wholesalers or dealers will be agreed separately.

Article 10 – Right of Retention

If the Customer fails to meet their payment obligations and the Service Center still holds Products belonging to the Customer, the Service Center may retain these Products until the amounts due have been paid, insofar as permitted by law.

Article 11 – Customer Obligations

  1. The Customer must provide all information necessary for correct processing and return shipment completely and accurately.
  2. The shipment must include at least the Customer's full name, address, email address and telephone number.
  3. The Customer must clearly state any specific problems, damage or requests.
  4. The Customer is responsible for the correct and secure packaging of the Product.
  5. The Customer must inform the Service Center in advance of any special characteristics, previous damage, repairs or other circumstances that may be relevant to the Services.
  6. Incomplete or incorrect information may result in delays in carrying out the Services or returning the Product.

Article 12 – Performance of the Services

  1. The Service Center performs each assignment professionally and with due care.
  2. Scissors are inspected in advance. Depending on the condition and type of scissors, the Services may include sharpening, polishing, adjustment, cleaning and checking or replacing small parts.
  3. Sharpening and conditioning scissors necessarily involves removing material from the cutting blade.
  4. The result of the Services also depends on the age, condition, construction and material of the scissors, as well as previous sharpening, repairs, damage and wear.
  5. The Service Center therefore cannot guarantee that every pair of scissors can be fully restored to its original factory condition.
  6. If, during the Services, it becomes apparent that further treatment would not be technically responsible or could damage the Product, the Service Center may stop the Services.
  7. Where possible, the Service Center will contact the Customer in such cases to discuss the available options.
  8. Essential small parts and necessary adjustments may be included in the conditioning service at no additional cost, as stated on the current pricing page.
  9. Services or parts that fall outside the standard conditioning service may be charged separately.

Article 13 – Warranty on Services

  1. The Service Center warrants that the agreed Services will be performed professionally and with due care.
  2. If a problem is demonstrably the result of Services performed by the Service Center, the Customer must report this within 14 days of receipt.
  3. The Service Center will first be given the opportunity to inspect the Product and, if the complaint is justified, to correct the relevant Services free of charge.
  4. This warranty does not apply to normal wear and tear, improper use, dropping or impact, corrosion, insufficient maintenance or damage occurring after receipt by the Customer.
  5. The warranty does not apply to problems resulting from existing damage, previous sharpening, repairs or modifications not carried out by the Service Center.
  6. If, after the Services have been performed, the scissors have been sharpened, repaired or otherwise modified by a third party, this may affect the assessment of a warranty claim.

Article 14 – Specific Service Conditions

  1. Customers in the Netherlands may submit professional hairdressing scissors of all brands for conditioning.
  2. Customers outside the Netherlands may currently submit Kyone scissors only, unless otherwise agreed in writing in advance.
  3. Customers in the Netherlands may request a free shipping envelope from the Service Center or through a participating wholesaler.
  4. A free shipping envelope does not mean that additional shipping services, such as registered or insured shipping, are provided free of charge.
  5. Customers outside the Netherlands are responsible for shipping their Kyone scissors to the Service Center and for the associated shipping costs.
  6. Stated turnaround times are indicative. The Service Center aims to process scissors as quickly as possible after receipt but cannot guarantee a fixed delivery date.
  7. Separate published terms and conditions apply to the Kyone Service Center Loyalty Program. The product for which stamps are collected is available while stocks last and within the 12-month validity period of the promotion. If the relevant product is no longer available, Kyone Service Center reserves the right to offer another product as an alternative.
  8. Additional terms or restrictions may apply to laser engraving and other additional services, as stated on the relevant service page. We are not responsible for incorrectly or unclearly specified engravings.

Article 15 – Applicable Law and Competent Court

  1. All agreements with Kyone Service Center are governed by Dutch law.
  2. Disputes arising from or relating to an agreement with Kyone Service Center will be submitted to the competent court in the Netherlands in accordance with applicable law, unless mandatory law provides otherwise.
